Terms of service
1. Scope and provider
(1) These terms apply to all contracts that consumers conclude via the website the-understory-club.com with Margaux Huth, The Understory Club, Feldbrunnenstrasse 7, 20149 Hamburg, Germany (“we”).
(2) A consumer is any natural person who enters into a transaction for purposes that are predominantly outside their trade, business or profession.
2. What you receive
(1) The Understory Club is a bi-monthly subscription. Every two months you receive one box “edition” containing a personal letter, a pollinator guide with instructions, materials for something like an insect hotel, and flower bulbs or seeds.
(2) The contents change from edition to edition. We describe the main features of each box on the website before you order.
(3) Seeds and bulbs are natural products. Whether and how they germinate and flower also depends on location, weather and care. This does not affect your statutory warranty rights.
3. Conclusion of the contract
(1) The presentation of the subscription on the website is not a binding offer but an invitation to order.
(2) By clicking the “Purchase” button, you submit a binding offer. Before that, you can review and correct your details at any time.
(3) We confirm receipt of your order by e-mail without delay. The contract is concluded with this confirmation.
(4) We store the contract text and send you the order details and these terms by e-mail. The contract languages are English and German.
4. Term and cancellation
(1) The subscription runs for an indefinite period and includes one box every two months.
(2) You can cancel the subscription at any time without notice. Cancellation applies to all boxes not yet paid for at the time of cancellation. If we receive your cancellation before the communicated cut-off date on the website, the next box will not be charged or shipped.
(3) You can cancel using the “Manage your order” button on our website, by e-mail to margaux@canopy-cities.com or by letter. We confirm receipt of your cancellation by e-mail without delay.
(4) We may cancel the subscription with one month’s notice. We will fully refund any boxes already paid for but not yet delivered.
(5) Both parties’ right to terminate for good cause remains unaffected.
5. Prices, shipping and payment
(1) The prices shown on the website at the time of the order apply. No VAT is charged under § 19 UStG.
(2) We deliver world-wide. Shipping costs depend on the country of delivery and are included in the order price.
(3) For our subscription models, the first box is paid when you order. We charge each further box on the 1st of the shipping month using the payment method you chose.
(4) We will notify you by e-mail at least four weeks in advance of any price change for future boxes. It applies only if you do not cancel beforehand; we will point out this right to cancel in the notice.
6. Delivery
(1) Delivery is made by DHL to the address you provide. Delivery times differ by country.
(3) Some countries restrict the import of certain seeds or bulbs. Where this applies, we adapt the contents of the box for that country and tell you before you order.
7. Right of withdrawal
Consumers have a statutory right of withdrawal. For details, see our withdrawal policy.
8. Warranty
The statutory warranty rights apply. Please report damaged or incomplete boxes to margaux@canopy-cities.com as soon as possible; your statutory rights do not depend on this.
9. Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.
(2) In the case of slightly negligent breach of an essential contractual obligation, our liability is limited to the typical, foreseeable damage. Essential contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely.
(3) Otherwise, liability for slight negligence is excluded.
10. Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of the country in which they have their habitual residence.
(2) We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
(3) If individual provisions are invalid, the rest of the contract remains valid.
